Purpose of recruitment:

SEE Change project is concluding the Social Justice Incubation Program after 13 months of project activities. The program team has identified opportunities for sustainability for up to 5 initiatives that requires legal services in Lebanon.

The program management team is seeking proposals from experienced legal consultants to provide legal assistance for the registration of one private company SAL, one non-profit organization, and up to three trademarks. The successful consultancy will be responsible for guiding the registration process, ensuring legal compliance, and managing all necessary documentation. The fees presented will be a lump sum of all the needed procedures and inclusive of disbursements, official charges, translation charges and out of pocket expenses that shall be borne by the legal consultant.

Scope of Work:

The selected legal consultancy will be expected to perform the following tasks:

1. SAL Private Company Registration (1):

– Advise on the appropriate legal structure for the company.

– Prepare and submit all required documents for company registration.

– Assist with drafting the company's articles of incorporation and related documents.

– Liaise with relevant authorities to ensure successful company registration.

– Provide guidance on tax registration and compliance.
– 1 year legal retainer fee

2. Non-Profit Organization Registration (1):

– Advise on the legal requirements and regulations for non-profit organizations.

– Prepare and submit the necessary documents for non-profit organization registration.

– Assist in developing the organization's constitution and bylaws.

– Coordinate with regulatory bodies to facilitate the registration process.
– 1 year legal retainer fee

3. Trademark Registration (3):

– Conduct comprehensive trademark searches to ensure availability.
– Prepare and file the necessary documents for trademark registration application.

– Respond to any inquiries or requests for additional information during the registration process.

– Monitor the progress of trademark applications and provide updates as needed.

Legal Compliance:

The legal consultant is expected to ensure that all registration processes are in compliance with local laws and regulations under the Lebanese Republic. The legal consultant will provide expert advice on any legal issues that may arise during the registration process and assist in obtaining any necessary permits or licenses associated with the registrations.

Submission Requirements:

Interested legal consultancies are required to submit a proposal that includes the following details:

1. Cost Proposal:

– The proposal must provide a detailed breakdown of all fees, including government fees, legal fees, and any other applicable charges.

– The cost should be inclusive of all expenses related to company, non-profit organization, and trademark registrations.

2. Timeline:

– A clear timeline outlining the expected duration for completing each registration.

– Identify key milestones and deliverables.

3. Team Expertise:

– Provide information about the consultancy's legal team and their experience in company registration, non-profit organization registration, and trademark law.

4. References:

– Provide references from previous clients for similar projects.

Submission Deadline:

Proposals must be submitted by September 3, 2023, no later than 6:00 PM Beirut Lebanon time zone.

Evaluation Criteria:

Proposals will be evaluated based on the following criteria:

– Cost-effectiveness and transparency of the cost proposal.

– Relevant experience and expertise of the legal team.

– Demonstrated understanding of the scope of work.

– Timeliness of the proposed project timeline.

– Quality of references provided.
